These Terms & Conditions (“Terms”) form a legally binding agreement between you and E-EPIC TECHNOLOGIES LTD. (“Jada”, “we”, “us”) governing your access to and use of the Jada platform, including our website, applications, AI features, and all related services (collectively, the “Platform”). By accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Platform.

1. The Platform & Our Role

Jada is an online marketplace that helps Event Planners (individuals or organizations planning events such as weddings, corporate functions, social gatherings, and more) discover, evaluate, and connect with Vendors (independent event service professionals such as photographers, videographers, DJs, live musicians, caterers, florists, venues, beauty professionals, and other event suppliers).

Our AI assistant “Jada” may suggest vendors and provide planning assistance. Jada facilitates introductions and tools (including messaging, lead unlocks, and event management features) but does not itself provide vendor services.

Marketplace Role. Jada is not a party to any agreement made between a Planner and a Vendor. We do not employ, supervise, endorse, or guarantee the conduct, quality, safety, legality, or availability of any Vendor or their services. Vendors are independent businesses solely responsible for their own legal, tax, licensing, insurance, and contractual obligations.

2. Eligibility & Accounts

  • You must be at least 18 years of age and legally capable of forming a binding contract in your jurisdiction to use the Platform.
  • You must provide accurate, current, and complete information when creating your account, and keep it up to date.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at contact@eepic.ca if you suspect unauthorized access.
  • You may not create multiple accounts to circumvent suspensions or restrictions, or impersonate another person or entity.
  • We reserve the right to refuse registration or suspend accounts at our sole discretion, including for violations of these Terms, fraudulent activity, or harm to the Platform or its users.

3. Planner Experience

  • Planners can create events, receive AI-powered vendor recommendations, build shortlists, communicate with Vendors through the Platform’s messaging tools, and manage their event planning workflow.
  • A Planner’s direct contact details (name, email, phone number) remain private until a Vendor specifically unlocks a connection with that Planner through the Platform by spending credits.
  • Planners are solely responsible for their own event decisions, budgets, negotiations, and any contracts entered into directly with Vendors. Jada does not supervise or guarantee the outcome of any planner-vendor relationship.
  • Planners agree to engage with Vendors in good faith and to provide accurate event details to facilitate genuine connections.

4. Vendor Responsibilities

  • Vendors must maintain truthful, accurate, and up-to-date business profiles, including service descriptions, pricing ranges, availability, portfolio content, and location.
  • Vendors must respond to Planner inquiries professionally and in a timely manner.
  • Vendors are solely responsible for their own business operations, including compliance with all applicable laws, regulations, municipal by-laws, professional licensing requirements, tax obligations (including GST/HST remittance), insurance coverage, and event-specific permits.
  • Vendors may not upload content (images, videos, text) that they do not own or do not have the rights to use, or that infringes the intellectual property rights of any third party.
  • Vendors are solely responsible for the quality, safety, and legality of the services they deliver to Planners and their guests.
  • Vendors agree not to misuse lead unlock data (e.g., adding Planners to third-party mailing lists without consent, or engaging in harassing communication).

5. Subscriptions & Vendor Plans

Jada offers subscription plans for Vendors that provide access to the Platform’s listing, lead, and management features. Details of available plans, pricing, and included features are published on our Pricing page. The following general terms apply:

  • Billing: subscription fees are billed in advance on a monthly or annual basis (as selected) in Canadian Dollars (CAD) unless otherwise stated. Applicable taxes (including GST/HST) will be added where required.
  • Automatic renewal: subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.
  • Cancellation: you may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period; you will retain access to paid features until that date.
  • Refunds: subscription fees are non-refundable except where required by applicable consumer protection law. If you believe you were charged in error, contact us within 14 days of the charge.
  • Price changes: we may change subscription pricing with at least 30 days’ notice via email or in-app notification. Your continued use of the Platform after the new pricing takes effect constitutes acceptance.
  • Plan downgrades: features tied to a higher-tier plan become unavailable upon downgrade; existing data (profiles, leads) is retained.

6. Credits, Lead Unlocks & Payments

  • Vendors may purchase credits to unlock connections with Planners (“lead unlocks”). Each lead unlock deducts a set number of credits and reveals the Planner’s direct contact details.
  • Credit package pricing may change over time and will be displayed at the time of purchase. All prices are in CAD and include applicable taxes.
  • Payments are processed by our third-party payment provider (currently Stripe). By making a purchase, you authorize Stripe to charge your designated payment method. Jada does not store full payment card numbers.
  • Credits are non-transferable between accounts and have no cash value. Unless otherwise stated, credits do not expire while your account remains active.
  • No monetary refunds: credit purchases are non-refundable. If a lead is materially invalid (e.g., the Planner’s contact information is demonstrably incorrect or unreachable through no fault of the Vendor), you may submit a credit restoration request within 7 calendar days of the unlock. Restorations are granted at Jada’s sole and reasonable discretion after review.
  • Any separate contracts, deposits, or payments negotiated directly between Planners and Vendors occur entirely outside Jada’s Platform and are not our responsibility. Jada is not a party to, and accepts no liability for, such arrangements.

7. No Circumvention

The Platform is the mechanism through which Vendors gain access to Planner leads. Users agree not to circumvent the Platform or its credit/payment processes for introductions that originated on Jada. This means:

  • Vendors may not attempt to obtain Planner contact details through any means other than a paid lead unlock (e.g., through messages, profile information, or third-party searches) for connections that originated on Jada.
  • Planners and Vendors may not deliberately coordinate to bypass the Platform’s process to avoid fees owed to Jada.

Repeated or deliberate circumvention may result in immediate suspension, account termination, and potential legal action to recover damages.

8. Acceptable Use

You agree not to use the Platform in any way that:

  • Is unlawful, fraudulent, deceptive, harassing, defamatory, threatening, or discriminatory.
  • Infringes the intellectual property, privacy, or other rights of any third party.
  • Involves scraping, crawling, data mining, or any automated access to the Platform without our prior written permission.
  • Attempts to bypass, undermine, or interfere with the Platform’s security features, authentication systems, or rate limits.
  • Uploads or transmits malware, viruses, or any other harmful code.
  • Posts false, misleading, or fabricated event details, business information, or reviews.
  • Discloses another person’s personal data without a lawful basis and their permission.
  • Uses the Platform for any purpose unrelated to event planning or vendor services.
  • Sends unsolicited commercial messages (spam) through the Platform’s messaging system.

We reserve the right to investigate and take action (including removal of content, suspension, or termination) in response to any violation of this section.

9. Content & Intellectual Property

Your Content

You retain ownership of any content you submit to the Platform (photos, videos, text, logos, etc.) (“User Content”). By submitting User Content, you grant Jada a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, display, distribute, adapt (e.g., for responsive design and image optimization), and use your content for the purposes of operating, improving, promoting, and providing the Platform — including in search results, recommendations, and marketing materials.

You represent and warrant that you own or have the necessary rights to all User Content you submit, and that your content does not violate any third-party rights or applicable law.

Jada’s Intellectual Property

All Platform technology, design, software, trademarks, logos, and content created by Jada are the exclusive property of E-EPIC TECHNOLOGIES LTD. and are protected by Canadian and international intellectual property law. You may not use, reproduce, or distribute any Jada intellectual property without our prior written consent.

Copyright Infringement

If you believe that content on the Platform infringes your copyright, please send a written notice to contact@eepic.ca with the subject line “Copyright Notice”, including a description of the work, its location on our Platform, your contact details, and a statement that you have a good-faith belief the use is unauthorized.

10. Reviews & Reputation

  • The Platform may allow Planners to leave reviews and ratings for Vendors they have worked with.
  • Reviews must be honest, first-hand, and based on genuine experience. Fabricated, incentivized, or retaliatory reviews are prohibited.
  • Jada does not endorse any review and is not responsible for the content of user-submitted reviews. We reserve the right to remove reviews that violate these Terms or our content policies.
  • Vendors may not offer compensation, discounts, or any incentive in exchange for reviews (positive or negative).

11. Beta Features & Platform Changes

Some features may be designated as “Beta” or “Early Access” and may be subject to change, withdrawal, or instability. We may modify, suspend, or discontinue any feature or aspect of the Platform at any time, with or without notice, though we will make reasonable efforts to communicate material changes in advance. The Platform is provided on an “ as available” basis.

12. Privacy

Our Privacy Policy describes how we collect, use, and share your personal information, including our compliance with PIPEDA, CASL, and applicable Canadian law. By using the Platform, you acknowledge that you have read and understood the Privacy Policy, including any international data transfers described therein.

13. Third-Party Services & Links

The Platform may integrate with or link to third-party services, applications, or websites (e.g., Vendor websites, payment processors, social login providers). Jada is not responsible for the content, privacy practices, or terms of any third-party service. Your use of third-party services is subject to their respective terms and policies. We encourage you to review those terms before using any linked third-party service.

14. Disclaimers

THE PLATFORM, AI FEATURES (INCLUDING JADA), AND ALL CONTENT AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.

  • Jada does not warrant the accuracy, completeness, reliability, or suitability of any Vendor listing, profile, pricing, or recommendation generated by Jada or displayed on the Platform.
  • Jada does not guarantee the availability, safety, quality, or legality of any Vendor or the services they provide.
  • You are solely responsible for independently evaluating Vendors, negotiating terms, entering contracts, and verifying any information before engaging a Vendor.
  • Jada’s AI suggestions are informational only and do not constitute professional, legal, financial, or event management advice.

15. Limitation of Liability

To the maximum extent permitted by applicable law, Jada and its directors, officers, employees, agents, successors, and assigns will not be liable for:

  • Any indirect, incidental, special, consequential, punitive, or exemplary damages.
  • Loss of profits, revenue, data, goodwill, or business opportunity.
  • Damages arising from your reliance on Vendor listings, AI suggestions, or any third-party content on the Platform.
  • Damages resulting from events outside our reasonable control (see Section 18).

Our total aggregate liability for all claims arising out of or relating to these Terms or the Platform, in any 12-month period, is limited to the greater of:

  • (a) CAD $100; or
  • (b) the total amounts you actually paid to Jada during the 12 months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In those jurisdictions, the limitations above apply to the fullest extent permitted by law, and mandatory statutory consumer rights are not affected.

16. Indemnification

You agree to defend, indemnify, and hold harmless Jada and its affiliates, directors, officers, employees, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your User Content; (b) the services you provide to or receive from other users; (c) your activities on or through the Platform; (d) your breach of these Terms or any applicable law; or (e) any dispute between you and another user of the Platform.

17. Suspension & Termination

  • We may suspend or terminate your access to the Platform if you violate these Terms, engage in fraudulent or harmful activity, or pose a risk to the security or integrity of the Platform or its users, with or without prior notice at our discretion.
  • You may close your account at any time through your account settings or by contacting us. Closing your account does not entitle you to a refund of any subscription fees or credits except where required by law.
  • Upon termination, your right to access the Platform ceases immediately. The following provisions survive termination: Section 9 (Content & IP), Section 14 (Disclaimers), Section 15 (Limitation of Liability), Section 16 (Indemnification), and Section 19 (Governing Law & Dispute Resolution).

18. Force Majeure

Jada will not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including but not limited to: natural disasters, acts of God, pandemic, epidemic, war, civil unrest, government action, regulatory changes, labour disputes, power outages, internet or telecommunications failures, or third-party service provider outages. In such events, we will make reasonable efforts to resume service as quickly as possible and will notify affected users where feasible.

19. Governing Law & Dispute Resolution

Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflicts of law principles.

Informal Resolution

Before initiating formal legal proceedings, you agree to first attempt to resolve any dispute by contacting us in writing at contact@eepic.ca with a description of the issue and the resolution you are seeking. We will respond within 30 days. If the dispute is not resolved within 60 days of your notice, either party may pursue formal remedies.

Jurisdiction

Subject to the dispute resolution process above, you agree to the exclusive jurisdiction of the provincial and federal courts located in British Columbia, Canada for the resolution of any dispute arising out of or relating to these Terms or the Platform.

Individual Claims Only

To the fullest extent permitted by applicable law, you agree to bring any claim against Jada only in your individual capacity and not as a plaintiff or class member in any purported class action or representative proceeding.

20. Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide at least 14 days’ notice via in-app notification and/or email before the updated Terms take effect. The “Last updated” date at the top of this page reflects the most recent revision. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Platform before they take effect.
